Chedid Capital is looking for a Senior Legal Counsel to support our legal team across multiple jurisdictions. The Legal Counsel will play a key role in ensuring governance standards, mitigating legal risks, and supporting strategic initiatives across the Group.

Responsibilities

  • Monitor and keep abreast of legal changes that affect the business’s industry and ensure compliance with regulatory requirements in different jurisdictions.
  • Review, research, interpret, and prepare both written and oral opinions on various matters, balancing legal requirements with business objectives.
  • Research and evaluate different risk factors regarding business decisions and operations giving accurate and timely advice in a variety of legal topics.
  • Draft, review, and negotiate a variety of contracts, create draft agreements, or documents.
  • Conduct thorough due diligence to assess legal risks and compliance issues related to strategic investment transactions (potential mergers, acquisitions, or joint ventures).
  • Assist in drafting, negotiating, and representing the interests of the company in strategic investment transactions (such as M&A, JV, Commercial alliances)
  • Assist on the handling of post-closing legal matters addressing legal issues related to integration, merging of operations, employees, and contracts.
  • Draft and negotiate insurance related agreements and documents to align with business objectives of the operation team and ensure compliance with legal and regulatory requirements.
  • Draft and negotiate software licensing agreements, technology transfer agreements, and intellectual property licenses.
  • Ensure compliance with data protection laws and regulations.
  • Advise on cybersecurity measures and breach response protocols.
  • Protect intellectual property rights and enforce these rights when necessary.
  • Ensure compliance with labor laws, regulations, and employment standards across different jurisdictions.
  • Collaborate with other departments such as finance, operations, human resources, and marketing to provide legal input and ensure legal alignment with overall business objectives.
  • Collaborate with internal legal team and coordinate efficiently, and when necessary, with external legal counsels.

 

Requirements

  • Bachelor’s Degree in Law is required. Master’s Degree in Law or MBA is preferable
  • Fluency in spoken and written Arabic, English, and French
  • 7+ years of experience in corporate legal counselling
  • Understanding of insurance laws, regulations, and compliance standards in the regions where the group operates is a plus.
